Welcome to Kitakuya. By creating an account or using our platform at kitakuya.com and app.kitakuya.com (the "Service"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Service.

Operator: Kitakuya is operated by Alexios Tsagarakis (sole proprietor, registered in Vienna, Austria — "Dienstleistungen in der automatischen Datenverarbeitung und Informationstechnik").

1. Account Terms

You must be at least 18 years old to use the Service.
You are responsible for maintaining the confidentiality of your account credentials.
You must provide accurate, current, and complete information when creating your account.
You may only create one account per person. Multiple accounts for the same individual are not permitted.
You are responsible for all activity that occurs under your account.

2. Acceptable Use

You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include but are not limited to:

Submitting false or fraudulent information (including fake invoices, contracts, or tax forms)
Using the Service to launder money, evade taxes, or commit fraud
Attempting to access another user's account or data without authorization
Reverse-engineering, scraping, or interfering with the Service's operation
Using the Service to transmit malware, spam, or harmful code

3. Payments and Billing

The Service offers a free tier ("Free"), a paid subscription tier ("Pro"), and a one-time Lifetime deal.

Paid subscriptions are billed monthly via Stripe. Pricing is stated on the pricing page and may change with notice.
Price protection for existing subscribers: If you're on a paid plan (Pro), your current price is locked in for as long as your account remains in good standing and you do not cancel. Price increases only apply to new subscribers. If you cancel and rejoin later, the then-current price applies.
Lifetime deals: Once purchased, lifetime access is guaranteed at the agreed price forever, regardless of future price changes. Lifetime members keep all features included in the deal at the time of purchase, including features added later. This is the deal — we will not downgrade or revoke lifetime access.
Early Kuya pricing: Users who joined during our Early Kuya offer at a discounted rate keep that rate as long as their subscription remains active and continuous.
You may cancel your subscription at any time. Access to paid features continues until the end of the current billing period.
As a Kleinunternehmer under §6 UStG (Austrian VAT Act), we do not charge VAT / USt on our services. Prices are final.
Refunds are handled on a case-by-case basis. Contact us at [email protected] for refund requests.

Pricing for Pro Monthly (₱500/mo), Pro Annual (₱4,800/yr), and Lifetime (₱5,999) is listed on the pricing page. Early Kuya discount (KUYA100, 30% off) applies to the first 100 subscribers. The price-protection terms in this section apply to all tiers.

4. Intellectual Property

Your data: You retain full ownership of the data you enter into the Service (invoices, contracts, client lists, profile information). We do not claim any ownership over your data.
Our platform: The Service, including its code, design, branding, and underlying technology, is owned by Kitakuya. You may not copy, modify, or redistribute the platform without our express permission.

5. Limitation of Liability

The Service is provided "as is" without warranty of any kind, express or implied. We are not responsible for:

Tax errors, penalties, or compliance issues arising from your use of the Service. The W-8BEN generator, BIR calculators, and tax tools are aids, not substitutes for professional tax advice.
Payment processing issues, chargebacks, or disputes handled by third-party providers (Stripe, PayPal, PayMongo).
Data loss resulting from account deletion, service outages, or force majeure events.
Any indirect, incidental, or consequential damages arising from your use of the Service.

To the extent permitted by Austrian law, our total liability to you for any claim arising from these Terms shall not exceed the amount you have paid us in the 12 months preceding the claim.

6. Termination

By you: You may delete your account at any time from your profile settings. Your personal data will be deleted within 30 days, subject to legal retention requirements (see our Privacy Policy).
By us: We may suspend or terminate your account if we determine that you have violated these Terms, engaged in fraudulent activity, or used the Service in a way that harms other users or our platform.
Upon termination, your right to use the Service immediately ceases. We will provide a reasonable opportunity to export your data before account deletion unless termination is due to a violation of these Terms.

7. Third-Party Services

The Service integrates with third-party payment processors (Stripe, PayPal, PayMongo), email delivery (Resend), and authentication (Google OAuth). Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for their operations.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Austria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Vienna, Austria.

For consumers resident in the EU, this does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence.

9. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email and/or a prominent notice on the platform. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
